Use Policy
When you subscribe you agree to the
terms and conditions below. If you disagree with the terms
and conditions below, do not continue. Member refers to subscriber
of the PROOF-it-ONLINE.com LLC service. Service refers to
PROOF-it-ONLINE.com LLC web site function and activities. Trial period refers to the first thirty days of service. Pay Status refers to a paid membership account. Questions should be directed to info@proofitonline.com.
Your member account at PROOF-it-ONLINE.com
LLC allows you to transfer files and direct individuals
to retrieve files using the PROOF-it-ONLINE.com LLC interface. Access to your trial member account function is limited to 30 days from origination of your account. At anytime during your trial membership you may convert your trial account to Pay Status. After your trial period has expired or limitations have been exceeded as determined solely by PROOF-it-ONLINE.com, your right to the service may be terminated. All existing files on PROOF-it-ONLINE.com shall be removed and will become inaccessible. Conversion of your account to Pay Status on or before your 30th day will prevent the purging of files. If you desire to reinstate your membership in PROOF-it-ONLINE.com at anytime after the trial period you will be required to re-register and will resume membership as Pay Status. You agree to limit your trial to 30 days and not to circumvent any systems designed to limit your trial account.

Files on PROOF-it-ONLINE.com
LLC
As a PROOF-it-ONLINE.com member you are solely responsible for
files uploaded to the PROOF-it-ONLINE.com LLC servers. You
warrant that your files do not violate any laws, both international
and domestic. You further warrant that files transmitted
to and through PROOF-it-ONLINE.com LLC do not infringe on
copyrights, trademarks, or patents, are not defamatory or
trade libelous, are not obscene, pornographic or indecent
and do not contain any harmful or malicious software code.
PROOF-it-ONLINE.com LLC reserves the right to remove files
solely at PROOF-it-ONLINE.com LLC's discretion.
Privacy and Security
PROOF-it-ONLINE.com LLC claims NO REPRESENTATIONS OR WARRANTIES
OF PRIVACY OR SECURITY regarding your account information,
or to your files uploaded to, or downloaded from the PROOF-it-ONLINE.com
LLC servers, nor to any information posted by any party
with regard to your member account.

Availability and Access to Service
While every effort to maintain the PROOF-it-ONLINE.com LLC
service will be made, PROOF-it-ONLINE.com LLC WILL NOT GUARANTEE
THE AVAILABILITY OF SERVICES OR OF ACCESS TO FILES. PROOF-it-ONLINE.com
LLC does not guarantee uninterrupted, secure or error free
operation neither of PROOF-it-ONLINE.com LLC servers nor
of the equipment of any sub-contracted service providers.
It is the responsibility of members to obtain access to
the PROOF-it-ONLINE.com LLC service through their own individual
Internet access. The PROOF-it-ONLINE online proofing application is designed as a paperless approval solution. While print functionality is included in the application, the Company is not responsible for any print malfunctions or failure to print hard copies from the workspace or reviewer applications. PROOF-it-ONLINE.com LLC is not responsible for consequences resulting from missed deadlines in the event that spam filters, other email security controls, pop-up blockers, or other system requirement setting issues result in undeliverable emails or delay in email delivery or access to the online proofing application.
Transfer of Membership
You may not transfer or re-sell your PROOF-it-ONLINE.com
LLC membership. Account Billing and Payment
Customer is responsible for any pay as you go charges for posted proofs exceeding the monthly plan allowance. Unused proof postings are forfeited if not used by the end of the billing period month; there is no rollover or carryover of proof pages from month to month. Failure to remit timely payment may result in termination of service. Should this occur, PROOF-it-ONLINE.com LLC is not responsible for maintaining, storing, or otherwise preserving account content on unpaid or delinquent accounts.
Cancellation Policy
Your account is charged each quarter on the same day as your signup day.
To cancel your account, you must email accounts@proofitonline.com at least seven days prior to your recurring quarterly billing date.
You will receive a cancellation confirmation email.
Accounts cancelled during the billing period will not be pro-rated.
Alteration or Change In Service Offering
PROOF-it-ONLINE.com LLC may alter or amend the terms applicable
to the PROOF-it-ONLINE.com LLC service by providing notice
to you by email or upon your member login. Amendments shall
be automatically incorporated if you elect to continue to
use the PROOF-it-ONLINE.com LLC service after notice. Should
PROOF-it-ONLINE.com LLC cease offering the PROOF-it-ONLINE.com
LLC service, your membership can be cancelled without notice.
IN NO EVENT SHALL PROOF-it-ONLINE.com LLC, ITS MEMBERS,
MANAGERS, EMPLOYEES, SUB-CONTRACTORS OR SUPPLIERS BE LIABLE
FOR LOST PROFITS OR INCIDENTAL OR CONSEQUENTIAL DAMAGES
ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE
SERVICES OR USE OF SERVICES PROVIDED BY PROOF-it-ONLINE.com
LLC.
Governing Law and Equitable Relief
This Agreement shall be governed and considered in accordance
with the laws of the United States and the State of Florida
and Recipient consents to the exclusive jurisdiction of
the state courts and U.S. federal courts located there for
any dispute arising out of this Agreement.
Final Agreement
This Agreement terminates and supersedes all prior understandings
or agreements on the subject matter hereof.
No Assignment
Recipient may not assign this Agreement or any interest
herein without PROOF-it-ONLINE.com LLC express prior consent.
Severability
If any term of this Agreement is held by a court of competent
jurisdiction to be invalid or unenforceable, then this Agreement,
including all of the remaining terms, will remain in full
force and effect as if such invalid or unenforceable term
had never been included.

PROOF-it-ONLINE.com is hosted in a secure server environment
that uses firewall and other advanced technology to prevent
interference or access from outside intruders.
Access to member accounts and postings to PROOF-it-ONLINE
are protected and secure. Proof-it-ONLINE.com provides members
with a unique user name and password that must be entered
each time a User logs on. In turn those clients or customers
of PROOF-it-ONLINE members who choose to interact with the
PROOF-it-ONLINE site are required to access the PROOF-it-ONLINE
application using a unique randomly generated number and
password. The PROOF-it-ONLINE server issues a session "cookie"
to record encrypted authentication information for the duration
of a specific session. The session "cookie" does
not include either the username or password of the user.
Account set up and credit card processing utilizes some
of the most advanced technology for Internet security available
today. When you access our site using Netscape Navigator
4.5 or Microsoft Internet Explorer versions 5.0 or higher,
Secure Socket Layer (SSL) technology protects your information
using both server authentication and data encryption, ensuring
that your data is safe, secure, and available only to registered
Users in your organization.
In addition SSL security can be elected at login to encrypt
data that is passed back and forth from the server to a
users browser. This is accomplished by selecting secure
at login.
